SPAM E-MAIL AND POSTING

In the event, your access or use of the platform and services is found to be spam, misleading, malicious, annoying or containing/promoting unsolicited e-mails or network postings. BRAINWIZ reserves its right to obtain immediate reliefs against you or against such use by you, in addition to all other remedies available at law or in equity. BRAINWIZ may also opt to block and restrict, filter or delete unsolicited messages, posting or emails as per its sole discretion.

ACCESSIBILITY OF THE TRAINING WEBSITES

Although we use reasonable endeavors to ensure that the Training Websites are available 24 hours a day 7 days a week, we cannot promise that access to the Training Websites will be uninterrupted or error free. There may be occasions when access to the Training Websites is interrupted. You accept that you will not have a claim for breach of contract or otherwise in respect of such period of unavailability. You also acknowledge that we cannot be held responsible for any delay or disruptions that are inherent in the operation of the Internet and the World Wide Web, including viruses.

MODIFICATIONS TO THE SERVICES & PRICES

Prices for our classroom courses, study material, online courses and other products and services are subject to change without notice.

We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.

We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service

YOUR ACCOUNT

You agree that the information that you provide to us on registration and at all other times will be true, accurate, current and complete and you agree that you will ensure it is kept accurate and up to date at all times. We may refuse to accept your application to register as a user for any reason in our absolute discretion.

RESTRICTION AND TERMINATION OF USE

You agree that BRAINWIZ, in its sole discretion, may deactivate your account or otherwise terminate your use of the Platform or enrolment to a Program with or without reason, including, without limitation, if BRAINWIZ believes that you have (a) breached the Terms and conditions; (b) infringed the intellectual property rights of a third party; (c) posted, uploaded or transmitted unauthorized Content on the Platform; or (d) violated or acted inconsistently with the letter or spirit of these Terms or any other applicable code of conduct. You agree that any deactivation or termination of your access to the Platforms or Programs may be effected without prior notice to you and that BRAINWIZ shall not be liable to you nor any third party for any termination of your account or enrolment into a Program. You also acknowledge that BRAINWIZ may retain and store your information on BRAINWIZ’S systems notwithstanding any termination of your account or enrolment into the Programs

In consideration of the Fees paid by you, we grant to you a limited, non-transferable, non-exclusive license to use the Course Materials and the software in respect of the Online Course for the sole purpose of completing the Online Course and / or attending the online Course

AMENDMENTS TO THE TERMS AND CONDITIONS

We reserve the right to amend these Terms from time to time. When we make a change we will update this page.

INTELLECTUAL PROPERTY

All Intellectual Property Rights in the Course Materials, Online Courses and the speeches made by trainers at the Taught Courses are, and remain, the intellectual property of BRAINWIZ, whether adapted, written for or customized for the Client or not

You are not authorized and prohibited from posting the following Content on our Platform:

a) to solicit others to perform or participate in any unlawful acts
b) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
c) Content that discusses illegal activities, with the intent to commit them;
d) Content that infringes or misappropriates patents, trademarks, trade secrets, right of publicity, or other intellectual property rights of third parties;
e) Content that you do not have the right to disclose;
f) Profane, pornographic, obscene, indecent or unlawful Content;
g) Advertising or any form of commercial solicitation and Content related to political activities.
h) Content that contains intentionally inaccurate information or that is posted with the intent of misleading others;
i) to spam, phish, pharm, pretext, spider, crawl, or scrape, Viruses, Trojan horses, worms, time bombs, cancelbots, or other disabling devices or other harmful components intended to or that may damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information;
j) Content that consists of any high volume, automated, or electronic means to access the Platform (including without limitation robots, spiders or scripts);
k) Content that violates the rights of other users of the Platform; or
l) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances

Breach by you of this above mentioned shall allow us to immediately terminate these terms and conditions with you and cease to provide you with any Services, including but not limited to access to the Online Courses.

LIMITED LICENCE

The services on the Platform are licensed, not sold. In consideration for your agreement to these Terms, BRAINWIZ allows you a personal, non-exclusive, non-transferable, revocable license to access and use the Platform and Courses, solely in accordance with the Terms. You may download or copy the portions of the BRAINWIZ Content available on the Platform for your own non-commercial and personal use only, provided you maintain all copyright and other notices contained in such BRAINWIZ Content. You may not copy, sell, resell, reproduce, publish, modify, transfer, retransmit, distribute, commercially exploit or create derivative works of Platforms, Programs or any BRAINWIZ Content.

From time to time, BRAINWIZ may include software, code, instructions, or other such information in the BRAINWIZ Content for the Programs; any such information is provided on an "as-is" basis for instructional purposes only and is subject to the ‘Disclaimer’ and ‘Limitation of Liability’ sections below and other terms herein. Any use of such information for commercial purposes is strictly prohibited. BRAINWIZ and/or its affiliates and licensors reserve all rights not expressly granted herein to the Platforms, BRAINWIZ Content,

Without limiting the generality of the terms above, the following are types of uses that BRAINWIZ expressly defines as falling outside of the definition of "non-commercial and personal use":

a) the sale or rental of (i) any part of the BRAINWIZ Content, (ii) any derivative works based at least in part on the BRAINWIZ Content, or (iii) any collective work that includes any part of the BRAINWIZ Content;
b) providing training, support, or editorial services that use or reference the BRAINWIZ Content in exchange for a fee;
c) the use of BRAINWIZ Content by an any university, school, college, or other educational institution for instruction where tuition is charged;
d) the use of BRAINWIZ Content by a for-profit corporation or non-profit entity for internal professional development or training; and
e) the use of BRAINWIZ Content for display / upload / making available at a place that is accessible to the general public in any manner, including but not limited to any social media sites, video download sites, and torrents.

INDEMNITY

You agree to indemnify, defend and hold harmless BRAINWIZ Education and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

DISCLAIMER

BRAINWIZ is not responsible for wrong application due to incorrect details furnished by the user. We do not represent or guarantee that our platform we will be free from viruses or errors. You acknowledge that our E-learning Platform may be affected by outages, faults or delays.

COPYRIGHT POLICY

BRAINWIZ may amend the Terms of Use and other BRAINWIZ Policies published on the Platform from time to time at its sole discretion. You continued access or use of BRAINWIZ Platform and services constitutes your acceptance of the amendments and will be subject to the most current version of the Terms of Use, Privacy Policy and Copyrights Policy posted on the Platform at the time of such use. We request you to check the platform on the continues basis to view the latest version of the BRAINWIZ policies
